
Brian Foremny is a business lawyer with more than 25 years of experience assisting clients with corporate finance transactions, intellectual property licensing, mergers & acquisitions, reorganizations, restructurings, and SEC matters.
In the corporate finance arena, Foremny has worked with publicly traded and privately-held businesses in accessing sources of capital and in structuring, negotiating, documenting and closing the resulting transactions. Foremny’s experience as lead counsel in capital finance matters has ranged from working with early-stage companies seeking venture financing, to more mature companies involved in private equity, restructurings, private placements, and public offerings.
His experience in intellectual property matters includes working in numerous substantive areas, including IT, computer hardware and software, Internet-related technologies, biotechnology and the life sciences. He has worked with multiple companies on negotiating and documenting intellectual property licensing agreements and arrangements, as well as agreements relating to invention rights, non-competition, confidentiality, employee and independent contractor issues, and distribution and other channel-marketing and sales arrangements.
Foremny’s practice in mergers & acquisitions has involved counseling companies through the acquisition and sale process in stock and asset-based transactions. He has served as lead counsel on mergers and acquisitions of public and private companies, corporate reorganizations and corporate takeovers and proxy battles.
He has advised public companies regarding securities regulation and SEC enforcement actions, handled executive compensation and corporate governance matters, counseled hedge funds and broker/dealers on regulatory matters and transactions, negotiated executive employment arrangements and terminations, structured joint venture and partnership arrangements, and handled commercial banking transactions.
Foremny has served as independent counsel to NYSE and NASDAQ companies in connection with internal and SEC investigations. He has served as principal advisor and strategist to corporations in resolving disputes involving a broad range of legal and business issues, from shareholder litigation matters to problems with secured and unsecured creditors and federal and state regulatory agencies. In representation of corporate clients, Foremny generally has acted as advisor to management and boards of directors in assisting them to work through the applicable legal issues while achieving their business objectives.
